Agreement and eligibility
LIAM is a service operated by Management Acquisition LLC. By using the website or services, you enter into an agreement with Management Acquisition LLC and agree to these Terms and our Privacy Policy. If you use LIAM for a company, you represent that you can bind that company to these Terms. You must be at least 18 years old to use the service.
If we sign a separate order form, statement of work, or data processing agreement with you, that document controls where it conflicts with these Terms.

What LIAM does
LIAM provides done-for-you prospecting support for AI automation agency founders, which may include audience research, prospect qualification, outreach, follow-up, conversation handling, and meeting coordination. The exact scope, timing, channels, and deliverables depend on the agreed plan.
We do not promise a particular number of leads, replies, meetings, revenue, or conversion rate. Outcomes depend on your offer, market, sales process, data, timing, and factors outside our control.

Your responsibilities
You agree to provide accurate information, a usable offer, timely feedback, and access or approvals reasonably needed to perform the service. You are responsible for your calendar, sales conversations, claims about your services, and decisions made from campaign outputs.
You must not use LIAM to send unlawful, deceptive, harassing, discriminatory, or unsolicited communications where prohibited. You must have the authority and appropriate basis to provide contact data and instructions. You are responsible for complying with applicable privacy, marketing, platform, and telemarketing rules.

Fees, renewal, and cancellation
Fees, billing timing, renewal, and cancellation terms are the terms shown in your order or subscription checkout. You authorize the applicable payment method for agreed charges and are responsible for taxes other than taxes on our income.
Unless your order says otherwise, you may cancel future service by contacting us before the next billing period. Amounts already paid are not refundable except where required by law or expressly stated in your order. We may suspend service for overdue amounts after reasonable notice.

Content and intellectual property
Management Acquisition LLC retains rights in the LIAM service, workflows, software, templates, brand, and underlying know-how. Subject to payment, you may use deliverables created specifically for you for your internal business purposes. You retain rights in materials you provide and grant us the limited rights needed to perform the service.
Feedback may be used to improve the service without restriction, provided it does not identify you or disclose confidential information without permission.

Confidentiality
Each party will protect non-public information received from the other and use it only for the relationship. This does not apply to information that is public without breach, already known, independently developed, or required to be disclosed by law.

Disclaimers and limits
The service is provided on an “as available” basis. To the extent permitted by law, we disclaim implied warranties and do not guarantee uninterrupted service, a particular business result, or that every message or prospect will be accurate or suitable.
To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, goodwill, or data. Our total liability relating to the service will not exceed the fees you paid to us for the three months before the event giving rise to the claim. These limits do not apply where prohibited by law.

Ending the relationship
Either party may end the service as allowed by the applicable order. We may suspend or terminate access for material breach, unlawful use, nonpayment, or a risk to the service or others. Provisions that by their nature should continue will survive termination, including payment, ownership, confidentiality, disclaimers, and dispute terms.
We may update these Terms by posting a revised version. Material changes will be communicated where appropriate. Continued use after the effective date means you accept the updated Terms.

Governing law and disputes
These Terms are governed by the laws of the State of New Mexico, without regard to conflict-of-law rules, except where applicable law requires otherwise. Before filing a formal claim, the parties will try in good faith to resolve the issue by contacting the other party.
Any dispute that cannot be resolved informally may be brought in the state or federal courts located in New Mexico, and each party consents to their jurisdiction. Nothing here prevents a party from seeking urgent injunctive relief or using a right that cannot legally be waived. We have not included a class-action waiver or mandatory arbitration provision.
